Purchase Price Allocation (ASC 805)

We have considerable experience providing purchase price allocation valuations for companies in a wide range of industries. These valuation analyses include Intangible
Assets, Tangible Assets, Earn-outs, and Rollover Equity.

Fairness Opinions

Each year, we perform many high-quality Fairness Opinions for public and private companies. Private Equity Funds may
require Fairness Opinions for various purposes and the SEC has recently mandated that Continuation Funds (Secondaries)
will require either a valuation or Fairness Opinion pursuant to each transaction starting in January 2024.

Portfolio Valuations (ASC 820)

Empire values portfolio securities for hundreds of Private Equity Funds and Hedge Funds, including 10 of the largest Hedge Funds in the U.S. We perform over 300 engagements for funds with $100 million to $1 trillion in assets, valuing in each case from one to 60 investments per quarter.

Solvency Opinions

Empire conducts many Solvency Opinions each year for dividend recaps, spin-offs, carve-outs, and other corporate transactions.

Goodwill and Asset Impairment (ASC
350/360)

Each year, Empire performs numerous impairment tests, including goodwill and other Intangible Assets, e.g., trademarks and amortizable assets.

Stock Compensation (ASC 718/IRC 409A)

Empire values stock options and profit interests for hundreds of companies for both accounting and Federal tax purposes.

Carried Interest Valuations

General Partner Carried Interests are typically the Private Equity Fund’s most junior security. Each year, Empire, as a national leader for this service, values dozens of GP’s Carried
Interests for IRS gift and estate purposes.
